Terms of Sale

Important

These Terms of Sale (ToS) apply to any subscription to a Paid Service on the MEDIXA platform. They supplement the Terms of Use (ToU) available on the Platform. By subscribing to a Paid Service, the Patient unconditionally accepts these Terms of Sale.

Article 1 — Seller identification

MEDICAL INTELLIGENCE & EXPERTISE ALLIANCE (hereinafter 'MEDIXA'), a simplified joint-stock company with share capital of €10,000, registered with the Paris Trade and Companies Register under number 995 237 534, with registered office at 3 rue Jules Guesde, 91130 Ris-Orangis, France, represented by Mr. Oussama OUADFEL, President. Email: support@medixa.fr.

Article 2 — Scope

These Terms of Sale apply exclusively to Paid Services offered on the MEDIXA Platform. The Free Service (AI-structured medical report) is governed solely by the Terms of Use. These Terms of Sale prevail over all other documents, unless MEDIXA has agreed otherwise in writing.

Article 3 — Description and pricing of Paid Services

3.1 Available offers

MEDIXA offers the following Paid Services: Offer 1a — Second medical opinion: €249.99 incl. tax — Delivery: 7 business days — Markets: Africa, Maghreb, Gulf Offer 1b — Opinion + Personalised care plan: €499.00 incl. tax — Delivery: 10 business days — Markets: Africa, Maghreb, Gulf Telemedicine consultation: €99.00 excl. tax — By appointment — All countries

3.2 Detailed offer content

Offer 1a: transmission of the Patient's medical record to a specialist physician at a partner French healthcare establishment, record analysis and issuance of a personalised written medical opinion endorsed by the specialist. Offer 1b: includes the entirety of Offer 1a, plus the development of a personalised care plan detailing therapeutic recommendations, specialist referrals and, where applicable, arrangements for care in France. Telemedicine consultation: medical video consultation with a French specialist. A €55 payment is made to the partner healthcare establishment for each consultation performed.

3.3 Applicable VAT

For patients residing outside the European Union (Morocco, Algeria, Tunisia, Gulf countries and other third countries): intangible services are exempt from VAT in accordance with applicable tax rules for B2C services outside the EU. For patients residing in the European Union: French VAT at the applicable rate applies.

Article 4 — Order process

Subscribing to a Paid Service involves the following steps: 1. Creating or logging into a Patient account on the Platform 2. Selecting the desired Service and uploading the complete medical record 3. Reviewing the order summary (service, price, delivery time) 4. Accepting these Terms of Sale via explicit checkbox 5. Secure payment via Stripe 6. Order confirmation by email with case number The order is firm and final upon receipt of payment confirmation from MEDIXA. MEDIXA reserves the right to refuse any order in the event of an incomplete medical record, suspected fraud, or inability to assign a competent specialist within the stated timeframes. In the latter case, the Patient is fully refunded.

Article 5 — Payment

5.1 Payment methods

Payment is made online at the time of ordering by credit card (Visa, Mastercard, American Express) via the secure Stripe solution. Payment is debited immediately upon order confirmation. MEDIXA does not store any of the Patient's banking data.

5.2 Currencies

Payments are made in euros (€). For patients residing outside the euro zone, the exchange rate applied is that in force at the time of the transaction, according to the conditions of the Patient's bank or card issuer.

5.3 Invoice

An invoice is automatically generated by MEDIXA and sent to the Patient by email within 24 hours of payment confirmation.

Article 6 — Delivery timeframes and MEDIXA's obligations

6.1 Timeframes

MEDIXA undertakes to meet the delivery timeframes stated in Article 3.1, from receipt of a complete and compliant medical record. If the record is incomplete, the timeframe is suspended until receipt of the missing documents, of which the Patient is notified by email within 48 hours.

6.2 Service quality

MEDIXA guarantees that each medical opinion is issued and endorsed by a qualified specialist physician practising at a partner French healthcare establishment. The medical opinion constitutes an informed professional view and does not constitute a definitive diagnosis or prescription. The Patient is advised to consult a local healthcare professional for any therapeutic decision.

6.3 Best efforts obligation

MEDIXA is subject to a best-efforts obligation in the provision of Paid Services. MEDIXA shall not be liable for specific therapeutic outcomes or medical decisions made by the Patient or their physicians based on the opinion provided.

Article 7 — Right of withdrawal

In accordance with applicable provisions, the Patient may exercise their right of withdrawal within fourteen (14) calendar days of order confirmation, provided the Paid Service has not been fully performed (medical opinion not yet delivered). The withdrawal request must be sent by email to support@medixa.fr with the case number. Full refund will be made within fourteen (14) days of receipt of the request, by the same payment method. The right of withdrawal is excluded once the Paid Service has been fully performed, i.e. once the medical opinion has been delivered and transmitted to the Patient, in accordance with Article L.221-28 of the French Consumer Code.

Article 8 — Liability

8.1 MEDIXA's liability

MEDIXA acts as an intermediary between the Patient and partner specialist physicians. MEDIXA is not responsible for the medical content of the opinion issued by the specialist, the consequences of medical decisions made by the Patient based on the opinion, or delays resulting from an incomplete medical record submitted by the Patient. MEDIXA's liability is limited to the amount of the Paid Service subscribed to by the Patient, except in cases of gross or wilful misconduct by MEDIXA.

8.2 Patient's liability

The Patient is solely responsible for the completeness and accuracy of the medical documents they transmit. Any incorrect or incomplete information may affect the quality of the medical opinion provided, without MEDIXA being held liable.

Article 9 — Confidentiality and health data

The processing of the Patient's personal and health data in connection with Paid Services is governed by Article 6 of the Terms of Use and the Privacy Policy available on the Platform. The Patient's data is transmitted to the partner specialist only within the strict scope of providing the subscribed Service and is not retained by the specialist beyond the assigned mission.

Article 10 — Intellectual property

The medical opinion provided as part of a Paid Service is intended for the Patient's exclusive personal use. It may not be reproduced, distributed, commercialised or transmitted to third parties without the prior written consent of MEDIXA and the issuing specialist physician.

Article 11 — Complaints

Any complaint relating to a Paid Service must be sent by email to support@medixa.fr within thirty (30) days of receiving the medical opinion. MEDIXA undertakes to respond within ten (10) business days. In the event of a justified complaint, MEDIXA will propose a correction of the opinion, a new Service or a partial or full refund.

Article 12 — Mediation

In the event of an unresolved dispute with MEDIXA, the Patient may use a consumer mediator free of charge. The contact details of the competent mediator are available on the Platform. Mediation does not preclude recourse to the courts.

Article 13 — Applicable law and jurisdiction

These Terms of Sale are governed by French law. Any dispute shall be submitted, failing amicable resolution within one (1) month, to the exclusive jurisdiction of the Paris courts. For Patients residing in countries with mandatory consumer protection rules, such rules apply in addition.
