Terms of Use

Important — Please read before using

These Terms of Use (ToU) govern access to and use of the MEDIXA platform by any patient. By creating an account on the Platform, the user acknowledges having read, understood and accepted these ToU without reservation. If you do not accept these terms, please do not use the Platform.

Article 1 — About MEDIXA

MEDICAL INTELLIGENCE & EXPERTISE ALLIANCE, a simplified joint-stock company (SAS) with share capital of €10,000, registered with the Paris Trade and Companies Register under number 995 237 534, with registered office at 3 rue Jules Guesde, 91130 Ris-Orangis, represented by Mr. Oussama OUADFEL, President (hereinafter 'MEDIXA'), operates a digital platform accessible via MEDIXA's digital addresses, including in particular the website medixa.fr and its associated applications (hereinafter the 'Platform'). MEDIXA is a care pathway orchestration platform that uses artificial intelligence to facilitate the submission, structuring and transmission of medical records for international patients. MEDIXA offers two categories of services: - A free AI-powered medical record structuring and summarisation service (the 'Free Service') - Paid second medical opinion and care coordination services at partner French healthcare establishments (the 'Paid Services'), governed by the Terms of Sale available on the Platform MEDIXA is a matchmaking and orchestration platform. MEDIXA is not a healthcare establishment, does not perform medical acts and is not liable for medical opinions issued by healthcare professionals on the Platform.

Article 2 — Acceptance of the Terms of Use

Access to and use of the Platform and Services are subject to unconditional acceptance of these Terms of Use. Such acceptance occurs at account creation via an explicit checkbox and constitutes a firm and definitive commitment by the Patient. MEDIXA may modify these Terms at any time. Modifications take effect upon publication on the Platform. The Patient will be notified of any material changes by email. Continued use of the Platform after notification constitutes acceptance of the new Terms.

Article 3 — Account creation and access conditions

3.1 Eligibility requirements

Access to the Platform is reserved for natural persons aged at least eighteen (18) years at the date of account creation. For minor patients, access is permitted subject to the express consent and legal representation of a parent or legal guardian, who accepts these Terms on behalf of the minor and assumes full responsibility.

3.2 Registration

Account creation is mandatory to access any service on the Platform. Upon registration, the Patient must provide: first and last name, date of birth, residential address, valid email address, phone number. The Patient guarantees the accuracy and currency of the information provided.

3.3 Credentials and security

The Patient is solely responsible for maintaining the confidentiality of their login credentials. They agree to immediately notify MEDIXA of any unauthorised use of their account at: support@medixa.fr.

Article 4 — Description of Services

4.1 Free Service — Structured medical report

Important warning: The Report generated under the Free Service constitutes exclusively an administrative and structured summary of the Patient's medical record. It does not constitute a medical opinion, diagnosis, prescription or therapeutic recommendation, and cannot substitute for a medical consultation. The Free Service is limited to one (1) Report per medical record. MEDIXA reserves the right to modify this limit with reasonable notice.

4.2 Paid Services

Paid Services (Offer 1a at €249.99 incl. tax, Offer 1b at €499 incl. tax, Teleconsultation at €99 excl. tax) are subject to the Terms of Sale available on the Platform. They include transmission of the file to a French specialist physician, issuance of a personalised written medical opinion endorsed by a healthcare professional, and depending on the offer, care coordination.

Article 5 — Patient's obligations

By using the Platform, the Patient agrees to: - Only submit medical documents that personally concern them or which they are legally authorised to handle - Not submit illegal content or content infringing third-party rights - Not attempt to circumvent the Platform's security mechanisms - Not use the Platform for commercial purposes without prior written consent from MEDIXA - Comply with applicable laws and regulations in their country of residence - Not make medical decisions based solely on the Report and to consult a qualified healthcare professional

Article 6 — Personal data and health data

6.1 Data controller

MEDIXA acts as data controller in accordance with the GDPR (EU 2016/679) and the French Data Protection Act of 6 January 1978, as amended.

6.2 Data collected

MEDIXA collects and processes: identification data (name, date of birth, address, email, phone), health data (medical documents, reports, imaging), navigation data (IP address, connection history).

6.3 Purposes of processing

Data is processed for the following purposes: - Provision of Free and Paid Services - Patient account management and contractual relationship - Improvement of the Platform and artificial intelligence algorithms - Compliance with applicable legal and regulatory obligations - Fraud prevention and Platform security - Medical research and AI model training, using strictly anonymised data, subject to the Patient's explicit and separate consent (see Article 6.7)

6.4 Health data hosting

All health data is hosted by a certified Health Data Host (HDS) in accordance with Article L.1111-8 of the French Public Health Code. Data is not transferred outside the European Economic Area without appropriate safeguards.

6.5 Patient's rights

The Patient has the right to access, rectify, erase, restrict, port and object to the processing of their data, exercisable at: dpo@medixa.fr. In case of complaint, the Patient may contact the CNIL (www.cnil.fr). Patients residing in Morocco may also contact the CNDP (www.cndp.ma).

6.6 Retention

Data is retained for the duration of the contractual relationship and for a maximum of five (5) years after account closure, unless otherwise required by law or upon exercise of the right to erasure.

6.7 Specific consent — AI use and medical research

The use of anonymised medical data for AI model training or medical research is subject to the Patient's explicit, free, informed and separate consent, collected at account creation via a separate checkbox. This consent may be revoked at any time without affecting access to the Services.

Article 7 — Intellectual property

The Platform, its algorithms, databases and interfaces are the exclusive property of MEDIXA and are protected by French and international intellectual property laws. Medical documents submitted by the Patient remain their exclusive property. By submitting them on the Platform, the Patient grants MEDIXA a limited licence to use them solely for the purpose of providing the Services. Any use for research or AI training is subject to the consent provided in Article 6.7 and is performed on irreversibly anonymised data.

Article 8 — Liability

8.1 MEDIXA's liability

MEDIXA undertakes to implement all reasonable means to ensure access to the Platform. MEDIXA shall not be liable for the content of medical opinions issued by healthcare professionals, decisions made by the Patient based on the Report, inaccuracy of submitted documents, or consequences of unauthorised access resulting from Patient negligence.

8.2 Patient's liability

The Patient is solely responsible for their use of the Platform and the information they submit. They indemnify MEDIXA against any third-party claim or action arising from their use.

Article 9 — Account suspension and termination

MEDIXA reserves the right to suspend or terminate a Patient's account without notice in the event of ToU violation, provision of fraudulent information, unlawful use of the Platform or non-payment for a Paid Service. The Patient may close their account at any time via support@medixa.fr.

Article 10 — Right of withdrawal

In accordance with applicable provisions, the Patient may exercise their right of withdrawal within fourteen (14) days of subscribing to a Paid Service, provided the Service has not been fully performed. Requests should be sent to support@medixa.fr. Refund will be made within fourteen (14) days by the same payment method. The right of withdrawal does not apply to the Free Service or to Paid Services that have been fully performed (medical opinion delivered and transmitted).

Article 11 — Hyperlinks and third-party services

The Platform may contain links to third-party websites or services. MEDIXA accepts no liability for their content or data protection practices.

Article 12 — Platform modifications

MEDIXA reserves the right to modify, suspend or discontinue all or part of the Platform at any time. Patients will be informed of any material change with reasonable notice, except in emergencies.

Article 13 — Applicable law and jurisdiction

These Terms are governed by French law. In the event of a dispute, the Parties agree to seek an amicable resolution within one (1) month. Failing agreement, the dispute shall be submitted to the exclusive jurisdiction of the Paris courts. For Patients residing in countries with mandatory consumer protection rules, such rules apply in addition.

Article 14 — Miscellaneous provisions

If any clause of these Terms is declared void, the remaining clauses shall retain full force. MEDIXA's failure to invoke a breach shall not be construed as a waiver of the right to do so in future.
